注釋：這里的關(guān)鍵是這一局部“on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date”譯文把“on and as of the Closing Date”譯成“在成交當(dāng)日”。這里的英國自身是有毛病的，由于這里有三層法律虛擬，是反復(fù)的，不必要的。不過譯文還是表達(dá)了原意。

譯文是：本協(xié)定終止時，于終止生效之日起，中止所有尚未裝運的訂貨。

“From”與“on”之間能夠有很大的差別。舉一個例子，一份協(xié)定從英國譯成中文。協(xié)定里提到“the amount of principal and interest outstanding as of January 2, 2000”。（“在2000年2月2日未償還的本金和利息數(shù)額”和“自2000年2月2日起至如今未償還的本金和利息數(shù)額”和“自2000年2月2日起至如今未償還的本金和利息數(shù)額”，這兩者的差別會是渺小的。）英國“as of January 2, 2000”的含意是“在2000年2月2日未償還的…”

在用英國起草法律文件時，利用(as of)該當(dāng)很審慎，不要出現(xiàn)反復(fù)的現(xiàn)象。假設(shè)用中文起草就不會有這個成績，中文沒有這種用法。假設(shè)從英國譯成中文，能夠就有艱巨。終究怎樣譯好？在失常情況下，假設(shè)一份英國合同說“[it is]‘effective as of a certain date’”，咱們應(yīng)把它譯成“[本合同]視為某年某月某日生效。在其余情況下，珠海翻譯公司，準(zhǔn)確的翻譯能夠有所不同。

把“as of”這個短語譯成中文時為什么會有成績？局部緣由是有些中文參考書對“as of”含意的解釋是不對的。那么在了解過法律英文中“as of”的用法之后，讓咱們一同來探尋“as of”的中文翻譯成績

下面抉擇幾個來自一份國內(nèi)貿(mào)易合同術(shù)語詞典的例子。

譯文是：從事經(jīng)銷的股東的陳述，要使之到了卻算期時其切實一如在結(jié)算期作出的一樣。

例4：The representations and warranties of Transferee contained herein shall be true and accurate on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date…

譯文是：本協(xié)定內(nèi)載明的轉(zhuǎn)讓方的申明和保證，在本協(xié)定簽字當(dāng)日在一切本質(zhì)方面均為切實、準(zhǔn)確，且在成交當(dāng)日在一切本質(zhì)方面均為切實、準(zhǔn)確，仿佛該等申明和保證是在成交當(dāng)日所作申明和保證…。

例如一本很有影響的英漢詞典中有這樣一個例子：“The new contract takes effect as of July 2”，譯文是：“新合同七月一日起生效”。這里用“起”一詞是不對的。原文的意思是“在七月一日（on July 2）”，只管從法律效能下去看和從七月一日（as if it was from July 2）是一樣的，然而原文的意思不是“自七月一日起（starting from July and then thereafter）”。第二個例子：“Notification letters had been delivered to 20 persons as of mid-July.”譯文是：“七月中旬以來，已向20人收回通知。”as of mid-July不是“七月中旬以來”的意思，而是“到（或截止）七月中旬（by the middle of July）”或“在七月中旬（at the middle of July）”的意思。

注釋：把“as of”譯成“于…之日起”是不對的，它的意思不是“從那個日子（from the date）”?！癮s of the date”的意思是在終止之日（on the date of termination）而不是從終止之日（from the date of termination）。

注釋：中文譯文有幾個成績?！皊elling”shareholders不是“從事經(jīng)銷”的意思，而是出售股份的意思，“selling shareholders”是“出售股份的股東”。譯文把“as of”說成“如…一樣”，實踐上是逃避了“as of”的成績。第一個“as of”應(yīng)足以示意法律虛擬的概念，即說某件事件在某個日期發(fā)生（實踐上沒有在這一天發(fā)生）或被推定或被以為在那個日子發(fā)生，但是句子里又用了“as though”和“as if”重復(fù)反復(fù)同一個概念。這種起草法律文書的英文，翻譯起來會很艱巨，不過中文譯文基本上還是把總的意思表達(dá)進(jìn)去了。
